LTS Lohmann Therapy Systems, Corp. is looking for a full-time Legal Counsel to perform the following job duties: Provide legal counsel & advisory srvics in all aspects to the org & its employees. Draft, negotiate & review agrmnts, incl but not limited to, supply agrmnts, dvlpmnt agrmnts, license agrmnts, supplier agrmnts, quality agrmnts, employee-related agrmnts, confidentiality agrmnts & consulting agrmnts. Manage litigation matters. Review corp documentation & processes to correct deficiencies & implmnt preventative measures before probs occur. Support corp dvlpmnt activities, particularly M&A transactions, by drafting LOIs, managing due diligence, & coordinating w/ external counsel. Oversee the contract lifecycle mgmt process, using DocuSign & other tools to streamline workflows & improve efficiency. Manage outside counsel relationships & oversee litigation & dispute resolution strategies. Provide legal guidance to exec mgmt on commercial transactions, corp governance, employment matters, & day-to-day legal issues across North America. Dev & update North America’s legal templates & implement new legal systems to optimize the dept’s ops. U.S. law license w/ NJ reciprocity required.Requires a JD or foreign degree equiv plus 3 yrs of exp as an Attorney. Exp. must incl: drafting & negotiating agrmnts in the life science, pharma, or bio-tech industries; pharmaceutical IP ownership & licensing; counseling senior execs on a wide range of corp issues, litigation matters, governance, & commercial operations in the life science, pharma, or bio-tech industries; managing & negotiating M&A transactions & performing due diligence in connection w/ such transactions; drafting NDAs, LOIs, & term sheets; addressing gen corp & operational matters w/ bio-tech clients; int’l/cross-border transactional exp; handling litigation strategy in connection w/ corp disputes; & handling employer/employee related issues.Work Location: West Caldwell, NJSalary: Salary: $120,000-$170,000 per yearStandard company benefits.To apply for position, email resume to: stephanie.satz@ltslohmann.comPrincipals only.
