What You’ll Do
We are seeking a highly skilled and detail-oriented Attorney to support our Go-To-Market organization across the U.S. in a lean, high-impact environment. Teradata is rapidly evolving its product offerings to enable its customers, some of the world’s largest companies, to turn data into valuable business outcomes with its AI and Knowledge Platform. This position will play a critical role in supporting this continued transformation both in how we do business and how we help our customers do theirs. The position will support our internal clients’ sales cycle by providing effective counseling, drafting, reviewing, and negotiating commercial and legal terms for our sales agreements with customers and partners, both commercial and governmental entities. This position will report to the Chief Counsel - HCLS, Public Sector and Americas Industries and is available to work on a virtual basis but will need to provide support during Eastern time zone hours. Travel will generally be limited to Law Organization team events.
Key Responsibilities:
End-to-end legal support for technology transactions, including AI and generative AI offerings: review, redline, and negotiate customer, partner/reseller, and prime/sub agreements across SaaS, cloud, software licensing, and AI-enabled solutions.
Translate GenAI concepts (e.g., embeddings, fine-tuning, retrieval, model limitations) into practical contract terms and risk decisions. Ideal experience includes some combination of:
Negotiating terms involving model usage restrictions, and provider pass-throughs.
Advising on data use for model improvement/fine-tuning.
Addressing IP questions (output ownership, licensing, infringement risk, indemnities).
Working with security/privacy stakeholders on AI workflows.
Creating internal guidance, playbooks, or training on contracting for GenAI solutions and responsible use.
Sales Support: Partner with GTM, Deal Desk, Product, and Finance teams to maximize standardization opportunities under structured agreements and minimize the need for ad hoc or local agreements.
Customer Interaction: Negotiate contract terms with customers and provide contracting expertise.
Compliance and Risk Management: Ensure compliance with applicable internal policies, laws, rules, and regulations. Identify potential risks and liabilities in contracts and proactively develop solutions.
Strategic Relationships: Develop strong strategic relationships with clients and internal stakeholders. Provide contracting guidance and act as a pragmatic, business-oriented and trusted advisor.
Process Improvement: Initiate and lead projects to modernize contracting and legal operations with AI-assisted workflows, improving the contracting process, and limiting ad-hoc terms and conditions, including negotiation playbooks and drafting of templates and standard language.
Quarter end readiness & coverage: Support time sensitive escalations and occasional after hours needs.
Who You’ll Work With
The Attorney will partner closely with GTM, Deal Desk, Product, and Finance teams to ensure that the terms of our agreements meet customer expectations and business requirements.
What Makes You a Qualified Candidate
Juris Doctor Degree from an ABA accredited law school.
Three to ten years of law firm or in-house experience, with at least three years of commercial contract drafting and negotiating experience with IT and AI contracts, including reviewing, negotiating, and drafting software licensing agreements, IT sales agreements, cloud, AI and SaaS agreements.
Experience with federal and/or state government contracting is a plus.
Must have an active member of the bar in the state the candidate resides or practices.
Strong analytical and problem-solving skills with the ability to analyze complex contractual issues and develop effective solutions.
An agile mindset with the ability to learn as new product offerings and associated contracting models are developed and adopted, particularly in the field of AI.
Proven ability to manage multiple concurrent deals with minimal supervision in a fast-paced environment; clear, concise communication and executive-ready judgment.
Strong proficiency with AI-assisted legal practice and contracting tools such as AI-enabled contract review, clause libraries, negotiation playbooks, and legal knowledge systems; Microsoft Office 365.

Pay Rate: 121900.0000 - 152300.0000 - 182800.0000 Annually
Starting pay for the successful applicant will depend on geographic location, internal equity, job-related knowledge, skills, and candidate experience. Sales roles will be eligible for commission payments tied to quota achievement. All other permanent roles will be eligible for one of our annual incentive plans, which are based on company financial attainment and individual performance.
