Bureau Vertias North America Manager Legal - Bangladesh in Other/Not Applicable, Bangladesh
Responsibilities:
- Litigation
Attending hearings before various forums, including the High CourtsCustoms House, Commissioner Appeal, Appellate Tribunaland trial courts and assisting the arguing counsel in the course of the hearing.
Periodically update the status of pending claims and penalties, including generating periodic reports.
Remain up-to-date with relevant legal developments, such as laws, amendments, rules, notifications, regulations, case law, government circulars, notifications and other relevant legal material to ongoing litigations.
Meet with external counsels regularly and consult with counsels on court strategy on the pending litigations.
- Contract Review and Negotiation
Draft, review, negotiate, and administer various legal documentation (including but not limited to consultancy agreements, confidentiality agreements, leases, MOUs, tender offers, and associated documentation).
Facilitate execution of legal documentation and internal escalations in accordance with delegations of authorities matrix.
- Corporate Governance
Corporate register management and maintenance.
Support to Boards and Company Secretaries.
- Compliance
Provide compliance training and advice.
Support compliance program and activities rolled out by Head Office including but not limited to Annual Compliance Declaration.
Conduct investigation and provide recommendation on potential breach of Code of Ethics reported under whistleblowing system.
- Other Responsibilities
Insurance: Supporting the insurance programme and annual renewals.
Compliance: Support reporting to head office and internal stakeholders.
Property: Support the Admin Department with review, advice and negotiation pf various documents (including leases, surrenders and make-good).
Intellectual Property: Making applications and supporting the renewal of the business’ IP registrations.
Policy & Compliance: Draft and amend local policy and provide support on group compliance projects.
Experience & Education:
7-10 years post admission experience in either an in-house or private practice role.
Bachelor of Laws.
