Associate, Healthcare Regulatory and M&A (King & Spalding LLP) New York, NYAdvise healthcare clients on a broad range of matters, including managed care litigation and arbitration, corporate transactions, regulatory compliance, and risk management. Provide ongoing counsel on regulatory compliance and risk management for both for-profit and nonprofit organizations, with a focus on adherence to federal and state fraud and abuse laws, corporate practice of medicine statutes, Medicare and Medicaid regulations, and 501(c)(3) tax-exemption requirements. Draft and negotiate complex transactional agreements in the healthcare industry, with a focus on compliance reimbursement, and regulatory frameworks. Manage and incorporate comments from supervising attorneys and opposing counsel, ensuring documents are accurately revised and issues are efficiently resolved. Draft client-ready emails, memoranda, and correspondence addressing key contractual and regulatory matters, and lead discussions during negotiations or client meetings. Develop subject-matter expertise in health law, mergers and acquisitions, and reimbursement systems, demonstrating strong drafting and communication skills, a commitment to client service, and collaboration in a fast-paced, team-oriented environment. Represent healthcare providers in complex managed care disputes with commercial insurers and government payors, including litigation and arbitration involving reimbursement underpayments, systemic claim denials, and disputes over contractual interpretation. Analyze managed care agreements and applicable statutes and regulations to identify legal arguments and assess litigation. Telecommuting is permitted 1-2 days per week.Requires a J.D., LL.M., or foreign equivalent. License to practice law in the jurisdiction the Associate is based. Requires a minimum of three (3) years of progressively responsible experience as an Attorney with a large law firm advising on transactional healthcare matters, with a focus on compliance, reimbursement, and regulatory frameworks. Experience must include: Representation of healthcare providers and private equity investors in healthcare transactional matters, including mergers and acquisitions, joint ventures, divestitures, corporate reorganizations, licensure matters, and entity formation. Preparation and review of commercial agreements related to healthcare provider operations, including professional services agreements, management services agreements, billing services agreements, and GPO membership/vendor agreements. Consultation, analysis, and resolution of healthcare regulatory compliance matters, including federal and state fraud and abuse laws (including the Stark Law and Anti-Kickback Statute), corporate practice of medicine statutes, Medicare and Medicaid regulations, HIPAA privacy and security requirements, and other applicable federal and state healthcare laws. Consultation on federal tax exemption requirements for healthcare entities, including compliance with Internal Revenue Code 501(c)(3), private inurement and private benefit restrictions, unrelated business income tax considerations, and strategies for maintaining qualification for tax exempt status. $275,000 - $310,000.
