Introduction:
We are seeking an organized and detail-oriented Paralegal to manage the end-to-end administration of NonDisclosure Agreements (NDAs) using Icertis Contract Lifecycle Management (CLM). This is a primarily administrative role responsible for operational execution of NDA workflows, from business intake through contract creation, negotiation support, execution, and storage.
The Paralegal will work closely with business stakeholders and the Legal team to ensure NDAs are generated accurately, tracked efficiently, and processed in accordance with company standards. This role will also leverage AI, automation, and Icertis capabilities to improve NDA turnaround time, consistency, and data quality.
Key Responsibilities
NDA Intake & Business Coordination
Act as the primary administrator for incoming NDA requests
Partner with business teams to collect and validate required NDA information (e.g., counterparty details, purpose, jurisdiction, term, data use)
Determine appropriate NDA templates and workflows based on intake data
Educate internal stakeholders on NDA requirements, timelines, and standard processes
Icertis CLM Administration & Contract Creation
Create NDAs using approved templates within Icertis CLM
Populate contract metadata accurately to support reporting, compliance, and renewals
Manage NDA workflows within Icertis, including drafting, internal reviews, legal approvals, negotiations, execution, and closure
Track contract status, deadlines, and signatures through completion
Negotiation & Legal Team Support
Support Legal during NDA negotiations by managing document versions, redlines, and issue tracking within Icertis
Incorporate approved changes and finalize agreements per Legal guidance
Escalate nonstandard terms or deviations from playbooks to Legal for review
Ensure executed NDAs are properly stored, indexed, and searchable in Icertis CLM
AI & Process Optimization
Utilize Icertis AI functionality and related tools to improve NDA intake, review efficiency, and metadata accuracy
Identify opportunities to automate repetitive NDA tasks and reduce cycle time
Participate in the refinement of NDA templates, clause libraries, workflows, and AI assisted review processesassisted review processes
Support user adoption of improved NDA processes and tools
Administrative & Operational Excellence
Maintain NDA templates, playbooks, and process documentation
Ensure NDA data accuracy for reporting, audits, and compliance purposes
Generate routine reports and metrics (e.g., NDA volume, turnaround time, deviations)
Assist with contract audits, data cleanup initiatives, and system updates
Qualifications Required
Law degree or Paralegal certification or equivalent legal administrative experience
2+ years of experience supporting contracts or legal operations, preferably in an inhouse environment
Handson experience with Icertis CLM or similar contract management systems
Experience managing high volume, standardized agreements (NDAs strongly preferred)volume, standardized agreements (NDAs strongly preferred)
Strong attention to detail and ability to manage multiple requests simultaneously
Preferred
Experience supporting NDA negotiations in partnership with inhouse counsel
Exposure to AI tools used in legal or contract operations
Experience improving legal workflows or implementing CLM enhancements
Familiarity with contract data reporting and metrics
