IPRO Senior Director, In House- Counsel in Jericho, New York

SENIOR DIRECTOR, IN HOUSE COUNSEL

As the Senior Director (In-House Counsel) you will be responsible for overseeing and directing the corporate compliance program. Providing legal guidance to the IPRO staff and serving as liaison on legal issues with IPRO contracted legal firms. Provide guidance/assistance for completion of all legal documents including contracts and other agreements.

ESSENTIAL DUTIES INCLUDE BUT ARE NOT LIMITED TO:

Provide leadership in the daily operations of the Administrative Services Department, which includes Legal Affairs, Compliance and Contracts Program. Contract Management: Draft, review and negotiate terms and conditions of legal documents such as leases, contracts, privacy, and security agreements, etc. within prescribed timeframes. Regulatory Compliance: Ensure company operations comply with local, state, and federal laws. Assist in implementation of programs, policies, and business practices to ensure that all departments in the company are in compliance with applicable statutes and regulations. Training: Develop and provide employee training on legal and compliance-related topics, policies, or procedures. Risk Management: Identify legal risks for company products, services and operations and assist in development of corporate risk management strategies to mitigate them. Investigations: Identify reported issues that require follow-up or investigation and conduct internal investigations of detected compliance issues. Internal Auditing: Conduct periodic internal reviews or audits to ensure that company procedures are followed and to monitor effectiveness of implemented corrected actions. Reporting: Maintain documentation of compliance activities, including but not limited to, complaints received and investigation outcomes. Conduct legal reviews for assigned contracts which may include compilation of applicable laws, regulatory guidance, literature reviews, and preparation of advisory reports. Internal Advisor: Serve as a confidential point-of-contact for employees to communicate with staff, at all levels, to help them seek clarification on compliance issues or report irregularities/violations. Outside Counsel Management: Coordinating with external law firms on specialized litigation or transactions. Manage outside counsel and Legal Department staff. Corporate Governance: Support governance functions and Board-related activities. Provide staff support to the IPRO Board Compliance Committee and Board Cybersecurity Committee. Policy Development. Responsible for updating, implementing and writing company-wide policies and procedures consistent with federal, state and local regulatory mandates. Publishes and updates corporate policies and procedures pertaining to legal and compliance matters. Ability to plan, coordinate and complete many projects simultaneously. Ability to proactively solve problems and contribute to decision-making affecting corporate strategy. Strong business acumen, excellent verbal and written communication skills. Ability to relate interpersonally to all levels of staff.

EDUCATION & EXPERIENCE: Juris Doctor Degree from ABA-accredited law school, required. Admission to New York State Bar, required. License must be active and in good standing. Seven (7) years legal experience including three years experience in field of Government Contracting or Compliance, required. Three years supervisory experience, required.

The salary range and/or hourly rate listed is a good faith determination of potential base compensation that may be offered to a successful applicant for this position at the time of this job advertisement and may be modified in the future.

The annualized salary range for this position is $165,000.00 $180,000.00. Actual salary range and /or hourly rate depends on a variety of factors including experience, education, credentials, location, and budget.
