Your role and responsibilities
As a Commercial Attorney, you will utilize your professional legal training and experience to provide expert advice and counsel on various commercial legal matters and business ethics. You’ll support the Red Hat business in structuring and closing deals, defining legal strategies, and addressing contractual issues, with a focus on achieving business results and customer success. You’ll need to be inquisitive and resourceful; have a passion for technology and excellent communication and problem-solving skills; and be able to thrive in a fast-paced and dynamic business landscape. Your primary responsibilities will include: • Negotiate Contracts. Review, draft, and negotiate a variety of commercial contracts, including software subscription agreements, professional services agreements, statements of work, and partner agreements. • Provide Legal Advice: Offer guidance and counsel on diverse legal matters, ensuring compliance with laws and regulations in areas such as antitrust, commercial, intellectual property, and tax law, as well as Red Hat’s unique business model and open source licensing. • Analyze Business Ethics: Examine business practices and provide recommendations to ensure alignment with legal requirements and company values. • Collaborate with Stakeholders: Work closely with various stakeholders to identify and mitigate potential legal risks, providing solutions to complex problems.
Required technical and professional expertise
• Professional Legal Training: Exposure to professional legal training, enabling the application of legal principles and concepts to provide expert advice and counsel. • Legal Practice Experience: Experience drafting and negotiating contracts and working with a range of legal matters, including antitrust, commercial, intellectual property, and tax law, with the ability to analyze and interpret laws and regulations. • Business Ethics Analysis: Experience examining business practices to ensure alignment with legal requirements and company values.
Preferred technical and professional experience
• Understanding of Open Source Software: Familiarity with open source development and legal principles, including various licensing models (e.g., copyleft). • Exposure to Data Protection Laws: Experience working with data protection and privacy laws, including the European European General Data Protection Regulation and California privacy acts.
